1. ACCEPTANCE OF THESE TERMS

1.1  These Website Terms of Use (these "Terms of Use") govern your access to and use of the website located at www.realityalpha.io, together with any subdomain, successor domain, or alternate domain operated by Reality Alpha, and all pages, content, media, features, and forms made available through them (collectively, the "Site"). The Site is owned and operated by Reality Alpha LLC, a New Jersey limited liability company ("Reality Alpha," "we," "us," or "our").

1.2  By accessing, browsing, or using the Site, or by submitting any inquiry or application through the Site, you accept and agree to be bound by these Terms of Use. If you do not agree, you must not access or use the Site.

1.3  These Terms of Use govern use of the Site only. Web design, development, branding, copywriting, search engine optimization, hosting management, maintenance, and related professional services are provided solely under a separate written Client Services Agreement and the applicable proposal or order form (collectively, a "Services Agreement"). If there is any conflict between these Terms of Use and a Services Agreement, the Services Agreement controls with respect to the services provided under it.

1.4  These Terms of Use supersede and replace any terms previously posted on the Site, effective as of the Effective Date stated above.

2. THE SITE IS INFORMATIONAL ONLY

2.1  The Site describes Reality Alpha’s services and productized packages (currently marketed as "Launch," "Ascent," and "Alpha") and displays prices for them. All prices, package contents, page counts, retainer inclusions, and availability statements shown on the Site are indicative and illustrative only. They are provided for general informational purposes, do not constitute a binding offer, quote, promise, or guarantee, and are not capable of acceptance by you.

2.2  Package names, descriptions, features, deliverable counts, retainer scope, and prices displayed on the Site are subject to change at any time without notice, and are binding only when confirmed in a written proposal or order form issued for a specific engagement.

2.3  The forms on the Site, including the inquiry form on the home page and the application forms for each package, are informational request forms only. They do not reserve, schedule, or confirm any appointment, consultation, call, project slot, or delivery date. Submitting a form, selecting a package, using a button or page labeled "Book," or applying for the "Alpha" package does not create a client relationship, reserve capacity, or form any binding contract. A binding engagement is formed only as provided in the applicable Services Agreement.

2.4  Statements on the Site regarding response times, support availability, service levels, project or client capacity, review or turnaround periods, ownership of deliverables, cancellation rights, and anticipated business outcomes, including any statement regarding search engine ranking, visibility, traffic, leads, or conversion, are general descriptions of Reality Alpha’s current intended practice. They are not warranties, service level commitments, or guarantees of any result. Reality Alpha does not guarantee any particular search engine ranking, placement, indexing outcome, traffic volume, lead volume, or business result, all of which depend on factors outside Reality Alpha’s control. Service levels, support commitments, and ownership of deliverables apply only as expressly stated in the applicable Services Agreement.

3. ELIGIBILITY

You may use the Site only if you are at least eighteen (18) years of age and capable of forming a binding contract. By using the Site, you represent and warrant that you meet these requirements.

4. AI-GENERATED AND AI-ASSISTED CONTENT

4.1  Portions of the Site’s imagery, media, and written content are generated or assisted by artificial intelligence. Reality Alpha discloses where and how on its AI Transparency page at www.realityalpha.io/ai-transparency.

4.2  Artificial intelligence systems can produce output that is inaccurate, incomplete, outdated, or unexpected, including statements that appear authoritative but are not true. All AI-generated and AI-assisted content on the Site is provided for general informational purposes only, without warranty of accuracy or completeness, and must not be relied upon as a statement of fact, as a description of any specific engagement, or as professional advice of any kind.

4.3  To the maximum extent permitted by applicable law, Reality Alpha will not be liable for any error, omission, misdescription, or unexpected output in AI-generated or AI-assisted material appearing on the Site, or for any decision made or action taken in reliance on that material. Where accuracy matters to you, contact Reality Alpha and confirm the point with a person before relying on it.

4.4  Reality Alpha’s AI Transparency page describes its labeling and disclosure practices as of the date stated on that page. Those practices are informational, may change, and do not create any contractual obligation, warranty, or third-party right. No provenance mark, credential, or metadata tag displayed on the Site is a warranty of any content’s origin, accuracy, or protectability.

5. INTELLECTUAL PROPERTY

5.1  Except for materials provided by clients or third parties, all content on the Site, including text, graphics, images, video, designs, logos, page layouts, and code, together with the "Reality Alpha" name, logo, and branding, is owned by or licensed to Reality Alpha. To the extent that content is protectable, it is protected by United States and international copyright, trademark, trade dress, and other intellectual property laws.

5.2  Certain imagery and media on the Site are generated by artificial intelligence and are identified as such on Reality Alpha’s AI Transparency page. Reality Alpha makes no representation that any particular AI-generated element is protectable by copyright, and its rights in those elements are limited to any human-authored selection, arrangement, modification, and compilation embodied in them and to its rights under contract and unfair competition law.

5.3  Reality Alpha grants you a limited, revocable, non-exclusive, non-transferable license to access and view the Site for your personal or internal business informational purposes, and to share links to, or unmodified excerpts of, the Site for personal, non-commercial, editorial, or referral purposes, provided you do not remove or obscure any attribution or provenance notice and do not imply Reality Alpha’s endorsement. No other right or license is granted, whether by implication, estoppel, or otherwise.

5.4  Except as permitted by Section 5.3, you may not copy, reproduce, republish, distribute, publicly display, sell, or create derivative works from any portion of the Site, or use the Reality Alpha name, logo, or branding, without Reality Alpha’s prior written consent. Nominative use of the Reality Alpha name to identify Reality Alpha truthfully is permitted.

5.5  Client work displayed on the Site is shown with permission. Client names, logos, trademarks, and brand assets remain the property of their respective owners, and nothing in these Terms of Use transfers any right in them.

6. ACCEPTABLE USE

6.1  You agree that you will not:

6.2  Reservation of rights against AI training. Reality Alpha expressly reserves all rights to use the Site and its contents for text and data mining, machine learning, and artificial intelligence training. You may not use the Site, or any text, image, video, audio, code, or design element on it, to train, fine-tune, benchmark, evaluate, or ground any machine learning or artificial intelligence model or system, and you may not collect any of it by automated means for inclusion in any AI training, retrieval, or evaluation dataset. This reservation applies whether or not the collection would otherwise be permitted under Section 6.1(d), and applies notwithstanding any permission the Site’s robots.txt file grants for search engine indexing.

6.3  Reality Alpha employs technical measures to detect and restrict automated access to the Site, including rate limiting and automated request screening. Access obtained in circumvention of those measures, or continued after Reality Alpha has notified you to stop, is unauthorized and is not licensed by these Terms of Use.

7. SUBMISSIONS THROUGH THE SITE

7.1  You represent that all information you submit through the Site is accurate and complete and that you have the right to provide it.

7.2  Submissions are governed by our Privacy Policy. Please do not submit sensitive or confidential business information through the Site. Unless we have signed a non-disclosure agreement with you, nothing you submit before a written engagement is formed is subject to any duty of confidentiality on Reality Alpha’s part.

7.3  Reality Alpha may, in its sole discretion, decline to respond to any inquiry or application, including any application for the "Alpha" package.

7.4  We do not use what you submit through the Site to train, fine-tune, or improve any artificial intelligence model, and we do not sell, rent, or license it to any third party. We may use AI-assisted tools in the ordinary course of preparing our response to you, as described in our Privacy Policy.

7.5  If you send Reality Alpha any feedback, idea, suggestion, or proposed improvement concerning the Site or Reality Alpha’s services, whether solicited or unsolicited, you grant Reality Alpha a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use, reproduce, modify, and exploit it for any purpose, without any obligation of confidentiality, attribution, accounting, or compensation to you. Reality Alpha will have no liability arising from any similarity between that feedback and any service or material Reality Alpha independently develops or later offers.

8. THIRD-PARTY WEBSITES AND SERVICES

The Site may contain links to third-party websites or rely on third-party platforms, tools, or services. Links are provided for convenience only. Reality Alpha does not control and is not responsible for the content, policies, security, or practices of any third party, and a link does not imply endorsement.

9. PRIVACY

Reality Alpha’s collection, use, and disclosure of personal information in connection with the Site is described in its Privacy Policy, available at www.realityalpha.io/privacy. The Privacy Policy states Reality Alpha’s information practices and is not part of these Terms of Use.

10. ACCESSIBILITY

10.1  Reality Alpha is committed to making the Site accessible to people with disabilities and works toward conformance with the Web Content Accessibility Guidelines (WCAG) 2.1 Level AA. Its current conformance status, the measures it has taken, its testing methods, and its known limitations are described in its Accessibility Statement at www.realityalpha.io/accessibility.

10.2  Reality Alpha’s accessibility efforts are ongoing and are undertaken on a good-faith, continuous improvement basis. The Accessibility Statement describes the state of the Site as of the date stated on it and is not a warranty, representation, or guarantee of conformance with any standard, guideline, or law.

10.3  If you encounter an accessibility barrier on the Site, or if you need any information or service described on the Site provided in an alternative accessible format or by an alternative means, contact Reality Alpha at accessibility@realityalpha.io or through the contact form. Reality Alpha will acknowledge accessibility reports promptly and will work in good faith to provide the requested information or service by an alternative means and to remediate reported barriers.

10.4  Nothing in these Terms of Use limits, waives, or disclaims any right you have under the Americans with Disabilities Act, the New Jersey Law Against Discrimination, or any other applicable accessibility or anti-discrimination law, and Sections 12, 13, and 14 do not apply to any claim arising under those laws.

11. ELECTRONIC COMMUNICATIONS

By submitting your contact information through the Site, you consent to receive communications from Reality Alpha by email in response to your inquiry and, if you separately provide a telephone number, by telephone at that number for the same purpose. Reality Alpha will not add you to a marketing list, newsletter, or automated text or dialing campaign on the basis of a Site submission alone, and you may ask Reality Alpha to stop contacting you at any time. You agree that agreements, notices, disclosures, and other communications Reality Alpha provides to you electronically satisfy any legal requirement that those communications be in writing.

12. DISCLAIMER OF WARRANTIES

THE SITE AND ALL CONTENT ON IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. REALITY ALPHA DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT CONTENT ON THE SITE IS ACCURATE, COMPLETE, OR CURRENT.

13. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: (A) REALITY ALPHA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SITE; AND (B) REALITY ALPHA’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS OF USE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100.00). THIS SECTION DOES NOT LIMIT ANY LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW. LIABILITY ARISING FROM SERVICES PROVIDED UNDER A SERVICES AGREEMENT IS GOVERNED EXCLUSIVELY BY THAT AGREEMENT.

14. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Reality Alpha and its members, managers, employees, and contractors from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use or misuse of the Site; (b) your violation of these Terms of Use; (c) your violation of any law or the rights of any third party; or (d) any information or materials you submit through the Site.

15. SUSPENSION AND TERMINATION

Reality Alpha may suspend, restrict, or terminate your access to the Site at any time, with or without notice, for any conduct that Reality Alpha believes violates these Terms of Use or is otherwise harmful to the Site, to Reality Alpha, or to any third party. The following Sections survive any suspension or termination of your access to the Site: AI-Generated and AI-Assisted Content; Intellectual Property; Acceptable Use; Submissions Through the Site; Privacy; Disclaimer of Warranties; Limitation of Liability; Indemnification; Governing Law, Venue, and Jury Waiver; and Miscellaneous.

16. GOVERNING LAW, VENUE, AND JURY WAIVER

These Terms of Use are governed by the laws of the State of New Jersey, without regard to its conflict-of-law rules. Any action arising out of or relating to the Site or these Terms of Use must be brought exclusively in the Superior Court of New Jersey, Law Division, Warren County, or the United States District Court for the District of New Jersey, and you consent to the personal jurisdiction of those courts and waive any objection to venue in them. EACH PARTY KNOWINGLY AND VOLUNTARILY WAIVES ANY RIGHT TO A TRIAL BY JURY IN ANY SUCH ACTION. Nothing in this Section deprives you of the protection of any mandatory provision of the law of your place of residence that cannot be waived by agreement.

17. CHANGES TO THESE TERMS OF USE

17.1  Reality Alpha may revise these Terms of Use from time to time. Reality Alpha will post the revised version on the Site and update the "Last Updated" date above. Revisions apply prospectively only and do not alter the terms applicable to any access or submission occurring before the revision is posted.

17.2  Revisions that are administrative, clarifying, or required by law take effect on posting. Any revision that materially reduces your rights or materially increases your obligations takes effect thirty (30) days after it is posted, and during that period the prior version continues to apply to you.

17.3  Your continued use of the Site after a revision has taken effect, and any submission you make through the Site after that date, constitute your acceptance of the revised Terms of Use. If you do not agree to a revision, your remedy is to stop using the Site, and Reality Alpha will honor the prior version as to any inquiry you submitted before the revision took effect.

18. COPYRIGHT COMPLAINTS

If you believe content on the Site infringes your copyright or other rights, contact Reality Alpha at privacy@realityalpha.io with a description of the work, the location of the material on the Site, and your contact information. Reality Alpha will review and respond promptly.

19. MISCELLANEOUS

19.1  Some jurisdictions do not permit the exclusion or limitation of certain warranties, damages, or remedies. Nothing in these Terms of Use excludes, limits, or modifies any right or remedy that cannot lawfully be excluded, limited, or modified, and no provision of these Terms of Use is intended to waive, disclaim, or limit any clearly established legal right of a consumer under the laws of the State of New Jersey or of any other jurisdiction whose law applies to you. Any provision held void or unenforceable as to you is enforced to the maximum extent permitted and is void only as to you and only to that extent.

19.2  If any provision of these Terms of Use is held unenforceable, the remaining provisions remain in full force and effect. Reality Alpha’s failure to enforce any provision is not a waiver of it. You may not assign these Terms of Use. Reality Alpha may assign them in connection with a sale or reorganization of its business. These Terms of Use constitute the entire agreement between you and Reality Alpha concerning your use of the Site.
